2.1 We provide customized and/or standard software solutions, including but not limited to:
AI-based applications and platforms
Web and mobile application development
Automation and data-driven solutions
Cloud, API, and system integrations
Maintenance, support, and consulting services
2.2 The exact scope, deliverables, timelines, and pricing shall be defined in a separate proposal, statement of work (SOW), service agreement, or invoice mutually agreed upon with the client.
You represent that you:
Are at least 18 years of age, and
Have the legal capacity to enter into a binding contract under applicable laws.
If you are using the Services on behalf of an organization, you confirm that you are authorized to bind such organization.
4.1 Certain Services may require account creation.
4.2 You are responsible for maintaining the confidentiality of your account credentials and all activities conducted under your account.
4.3 We reserve the right to suspend or terminate accounts suspected of unauthorized access, fraud, or misuse.
5.1 Fees shall be charged as per the agreed proposal, contract, or invoice.
5.2 All payments must be made within the agreed timelines. Delayed payments may attract penalties or service suspension.
5.3 Prices are exclusive of applicable taxes unless stated otherwise.
5.4 For international clients, payments may be received in foreign currency as permitted under Indian law.
5.5 Goods and Services Tax (GST) shall be applicable as per Indian tax regulations. Export of services may be treated as zero-rated subject to compliance with applicable laws.
6.1 All pre-existing intellectual property, including proprietary frameworks, AI models, algorithms, code libraries, methodologies, documentation, trademarks, and know-how remain the exclusive property of Trivionex.
6.2 Unless otherwise agreed in writing, ownership of custom-developed deliverables shall be governed by the applicable agreement or SOW.
6.3 Clients are granted a limited, non-exclusive, non-transferable license to use the deliverables solely for their internal business purposes.
6.4 You shall not copy, reverse engineer, decompile, distribute, sublicense, or exploit any part of the Services without prior written consent.
7.1 Our Services may utilize artificial intelligence, machine learning models, and automated systems.
7.2 AI-generated outputs are provided on a best-effort basis and may contain inaccuracies. Clients are responsible for verifying outputs before use.
7.3 Trivionex does not guarantee that AI outputs will be error-free, unbiased, or suitable for regulated or critical decision-making unless explicitly agreed.
You agree to:
Provide accurate requirements, data, and timely feedback
Ensure you have lawful rights over any data, content, or materials shared
Use the Services only for lawful purposes
Comply with all applicable local, national, and international laws
9.1 Both parties agree to maintain confidentiality of all non-public, proprietary, or sensitive information shared during the engagement.
9.2 Confidential information shall not be disclosed to third parties without prior written consent, except where required by law.
9.3 These obligations survive termination of the Services.
10.1 We process personal and business data in accordance with applicable Indian data protection laws and our Privacy Policy.
10.2 Clients are responsible for ensuring that any personal data shared with us is collected lawfully and with necessary consents.
10.3 We implement reasonable technical and organizational measures to protect data but do not guarantee absolute security.
Our Services may integrate or depend on third-party platforms, APIs, or tools. Trivionex is not responsible for failures, changes, or outages of third-party services.
12.1 Services are provided on an “AS IS” and “AS AVAILABLE” basis.
12.2 We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
13.1 To the maximum extent permitted under law, Trivionex shall not be liable for:
Indirect, incidental, consequential, or special damages
Loss of profits, data, revenue, or business
13.2 Our total liability under any claim shall not exceed the total fees paid by the client for the specific Services giving rise to the claim.
You agree to indemnify and hold harmless Trivionex from any claims, losses, damages, liabilities, or expenses arising out of:
Your misuse of the Services
Violation of these Terms
Infringement of third-party rights due to materials provided by you
15.1 Either party may terminate the Services as per the applicable agreement.
15.2 We may suspend or terminate access immediately in case of breach, non-payment, or unlawful use.
15.3 Upon termination, outstanding dues become immediately payable.
Trivionex shall not be liable for failure or delay caused by events beyond reasonable control, including natural disasters, war, pandemics, governmental actions, or internet failures.
These Terms shall be governed by and construed in accordance with the laws of India.
Subject to arbitration provisions (if any), the courts of [Your Registered Office City], India shall have exclusive jurisdiction.
We reserve the right to modify these Terms at any time. Updated versions shall be effective upon publication unless otherwise stated.
